Terms of Service

1. Acceptance of terms
These Terms of Service (the “Terms”) govern your access to and use of the Yocto POS service. By creating an account, subscribing, or otherwise using the Service, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, you may not use the Service.
2. Definitions
- Service: the cloud-based, online-only Yocto POS point-of-sale software, website, and related features.
- Outlet: an individual store, restaurant, or business location you operate using the Service.
- User: a person you authorise to access the Service under your account, such as an owner, manager, or staff member.
- Subscription: your paid plan and any add-ons that entitle you to use the Service for your Outlets.
3. Eligibility & account registration
You must be able to form a legally binding contract to use the Service and must provide accurate, current, and complete information when registering. You are responsible for safeguarding your account credentials and for all activity under your account. Sensitive actions within the Service may require an App Password; you are responsible for keeping this App Password confidential and for actions authorised with it. Notify us promptly of any unauthorised use of your account.
4. Subscription, billing & payment
Subscriptions are billed per Outlet. Each Outlet subscription includes 2 Users free of charge, with paid additional-user and loyalty add-ons available. You may choose monthly or yearly billing cycles; yearly plans are billed for 11 months. Payments are processed by our third-party payment processor, Chargebee. All prices are stated in Indian Rupees (₹) and are exclusive of applicable GST and other taxes, which will be added as required.
Subscriptions renew automatically at the end of each billing cycle unless cancelled. We may change prices and will give you reasonable notice of changes before they apply to your renewal. See our pricing page for current plans and add-ons.
5. Cancellation & refunds
You may cancel your Subscription at any time. After cancellation, your access continues until the end of the period you have already paid for, and your Subscription will not renew. Except where required by law, payments are generally non-refundable, and cancelling does not entitle you to a refund for the remaining portion of a paid period.
6. Acceptable use & restrictions
You agree not to:
- use the Service for any unlawful, fraudulent, or harmful purpose;
- attempt to gain unauthorised access to the Service, other accounts, or our systems;
- copy, modify, reverse engineer, resell, or sublicense the Service except as permitted by law;
- interfere with or disrupt the integrity, security, or performance of the Service; or
- upload malicious code or infringe the rights of others.
7. Customer data & ownership
You retain ownership of the data you and your Users enter into the Service, including menus, orders, customer and loyalty records, and staff information. You grant us the rights needed to host and process this data to provide the Service. We process personal data in accordance with our Privacy Policy.
8. Service availability
The Service is a cloud-based, online-only product that requires a working internet connection to operate and synchronise in real time. We use reasonable efforts to keep the Service available but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance and may modify or discontinue features from time to time.
9. Intellectual property
Yocto POS and its licensors own all rights, title, and interest in the Service, including the software, design, and the Yocto POS name, logos, and marks. These Terms do not grant you any ownership of our intellectual property; you receive only a limited, non-exclusive right to use the Service during your Subscription.
10. Third-party services
The Service relies on third-party providers, including Chargebee for payment processing. Your use of those services may be subject to their own terms and policies. We are not responsible for third-party services and recommend you review their terms.
11. Disclaimers & limitation of liability
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. To the extent permitted by law, Yocto POS will not be liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or business, and our total liability arising out of or relating to the Service is limited to the amounts you paid to us for the Service in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Yocto POS and its officers, employees, and partners from any claims, damages, liabilities, and expenses arising out of your use of the Service, your data, your violation of these Terms, or your violation of any law or third-party rights.
13. Suspension & termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or use the Service in a way that poses a risk to us or others. You may stop using the Service and cancel your Subscription at any time. On termination, your right to use the Service ends, subject to the data retention practices in our Privacy Policy.
14. Governing law & jurisdiction
These Terms are governed by the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. Any disputes arising out of or relating to these Terms or the Service are subject to the exclusive jurisdiction of the courts in India.
15. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
